# ClosyAI Terms of Use

These Terms of Use ("Terms") govern your use of the ClosyAI mobile app, website, and related services ("Services") provided by ClosyAI Inc. ("ClosyAI," "we," "our," or "us"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use ClosyAI.

## 1. Eligibility
You must be at least 13 years old (or 16 in certain jurisdictions) to use ClosyAI. By using the Services, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

## 2. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information during signup and to keep it up to date.
ClosyAI may suspend or terminate your account if you provide false information, violate these Terms, or misuse the Services.

## 3. User Content
You retain ownership of the photos, clothing items, outfits, and other content you upload ("User Content").
By uploading User Content, you grant ClosyAI a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely to provide the Services to you. We do not use your User Content to train third-party AI models or share it with other users without your consent.
You may not upload content that is unlawful, infringes third-party intellectual property rights, or is harmful, obscene, or deceptive.

## 4. Intellectual Property and Prohibited Uses
All intellectual property in the Services — including app code, design, UI, logos, trademarks, and AI outfit generation technology — belongs to ClosyAI Inc. or its licensors.
You may not copy, modify, distribute, sublicence, or reverse engineer any part of the Services without prior written permission from ClosyAI.
**Prohibited Uses.** You agree not to:
- Use ClosyAI to develop, train, or support any product or service that competes with ClosyAI.
- Scrape, crawl, or extract data from the Services using automated means.
- Interfere with or disrupt the Services or servers connected to the Services.
- Attempt to gain unauthorised access to any part of the Services or other users' accounts.
- Use the Services for any unlawful purpose or in violation of any applicable law.
Violations may result in account termination and legal action.

## 5. Subscriptions and Payments
ClosyAI offers optional paid subscriptions ("Closy Pro" and "Closy Pro+") with the following plans, processed through Apple's App Store (iOS):

**Charges:** Payment is charged to your Apple ID account at confirmation of purchase (or at the end of the free trial for either annual plan, if applicable).
**Free trial:** A 7-day free trial is available on both annual plans (Closy Pro Annual and Closy Pro+ Annual) for new subscribers only — one trial per Apple ID. Full plan access is granted during the trial. Any unused portion of the free trial is forfeited upon purchase of a subscription.
**Auto-renewal:** Subscriptions automatically renew at the then-current plan price unless cancelled at least 24 hours before the end of the current billing period. Your Apple ID account is charged for renewal within 24 hours prior to the period end.
**Cancellation:** You may cancel at any time via iOS Settings → [Your Name] → Subscriptions → Closy Pro (or Closy Pro+), or at [apple.com/bill](https://support.apple.com/billing). Cancellation stops future renewals; you retain access until the end of the current paid period.
**Refunds:** All payments are processed by Apple. Refund requests must be submitted directly to Apple at [reportaproblem.apple.com](https://reportaproblem.apple.com). ClosyAI has no ability to issue refunds directly.
**Downgrade:** When a subscription expires or is cancelled, your account reverts automatically to the free tier. Your closet, saved outfits, and all data are retained — nothing is deleted on downgrade.
**Free tier:** A permanent free tier is available at no charge, providing 10 AI outfit generations per month and core app functionality.
**Android:** Android billing terms will be provided if and when Android subscription support is introduced.

## 6. Acceptable Use
You agree to use the Services only for lawful, personal, non-commercial purposes consistent with these Terms. ClosyAI is a personal styling tool — you may not resell access to the Services or use them to build a competing product.

## 7. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that outfit recommendations will be accurate or suited to your needs, that the Services will be uninterrupted or error-free, or that defects will be corrected.

## 8. Limitation of Liability
To the maximum extent permitted by applicable law, ClosyAI and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to your use of the Services.
Our total aggregate liability to you for any claim arising out of or related to these Terms or the Services will not exceed the greater of: (a) the total amount you paid to ClosyAI in the 12 months preceding the claim, or (b) $100 USD.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including consumer protection laws in your jurisdiction).

## 9. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms, for safety reasons, or at our discretion, with or without notice.
You may stop using the Services at any time. To permanently delete your account and data, use the "Delete account" option in Settings or contact support@closyai.com.
Sections 3 (User Content — licence terminates on deletion), 4 (Intellectual Property), 7 (Disclaimer), 8 (Liability), and 10 (Governing Law) survive termination.

## 10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
If you are an EU/UK resident, you also benefit from any mandatory protections under your local consumer law that cannot be waived by contract.
**Informal resolution:** Before initiating any formal dispute, you agree to contact ClosyAI at support@closyai.com and attempt to resolve the matter informally within 30 days.
**Formal disputes:** If informal resolution fails, disputes will be resolved in the appropriate courts of the State of Delaware, except where your local law requires otherwise.

## 11. U.S. Legal Compliance (Export Controls)
You represent and warrant that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government restricted party list.

## 12. Apple-Specific Terms
If you download the ClosyAI app from the Apple App Store, the following additional terms apply:
- These Terms are between you and ClosyAI only, not with Apple. Apple is not responsible for the app or its content.
- Apple has no obligation to provide maintenance or support for the app.
- In the event of any product liability or legal claim arising from the app, Apple is not responsible. ClosyAI is solely responsible.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

## 13. Severability and Waiver
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full effect.
A failure by ClosyAI to enforce any right or provision of these Terms does not constitute a waiver of that right or provision in the future.

## 14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClosyAI regarding the Services and supersede any prior agreements.

## 15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and notify you via email or an in-app notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
