These Terms of Use (“Terms”) govern your use of the ClosyAI mobile app, website, and related services (“Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use ClosyAI.

1. Eligibility

You must be at least 13 years old (or 16 in certain jurisdictions) to use ClosyAI.
By using the Services, you represent that you have the legal capacity to enter into these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to provide accurate information during signup.
ClosyAI may suspend or terminate your account if you provide false information or misuse the Services.

3. User Content

You retain ownership of the photos, clothing items, and outfits you upload (“User Content”).
By uploading, you grant ClosyAI a limited license to store, process, and display your User Content to provide the Services.
You may not upload unlawful, infringing, or harmful content.

4. Intellectual Property & Prohibited Uses

All intellectual property in the Services (app code, design, logos, trademarks) belongs to ClosyAI Inc. or its licensors.
You may not copy, modify, distribute, or reverse engineer any part of the Services without prior written permission.
Prohibited Uses: You agree not to use ClosyAI to develop, train, or support any product or service that directly or indirectly competes with ClosyAI. Any unauthorized copying, scraping, reverse engineering, or derivative use of ClosyAI’s technology, data, or intellectual property is strictly prohibited and may result in legal action.

5. Subscriptions & Payments (Future Features)

ClosyAI may introduce paid features or subscriptions.
If so, terms for billing, renewals, and cancellations will be provided in-app and updated here.
Subscriptions will automatically renew unless canceled before the end of the billing cycle.

6. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind.
We do not guarantee that recommendations will be accurate, the Services will be uninterrupted, or errors will be corrected.

7. Limitation of Liability

To the maximum extent permitted by law, ClosyAI is not liable for any indirect, incidental, special, or consequential damages.
Our total liability to you will not exceed the greater of (a) the amount you paid to us in the last 12 months, or (b) $100.

8. Termination

We may suspend or terminate your access if you violate these Terms.
You may stop using the Services at any time by deleting your account.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
If you are a European Union resident, you will also benefit from any mandatory provisions of your local law.

10. Dispute Resolution

You agree to first contact ClosyAI at support@closyai.com to resolve any dispute informally.
If not resolved, disputes will be handled under Delaware law in the appropriate courts.

11. U.S. Legal Compliance

You represent and warrant that:

You are not located in a country subject to U.S. embargo or on a U.S. government restricted party list.

12. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
A failure to enforce a right or provision does not constitute a waiver of future enforcement.

13. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a new effective date.
If you continue to use the Services after changes take effect, you agree to the updated Terms.
